1. 1. Agreement Overview

   These Terms of Service ("Terms") govern your use of Canduit's enterprise software solutions (ERP, CRM, HRMS, e-commerce platforms) and custom development services. By engaging with us, you agree to these Terms, which supplement any project-specific agreements.

2. 2. Acceptance of Terms

   By using Canduit's services, you accept these Terms. If you disagree, then refrain from accessing our services. These Terms apply to clients, visitors, and users. We may update these Terms with prior notice.

3. 3. Services Description

   What We Provide:

   • Enterprise software (ERP, CRM, HRMS, school management, e-commerce)
   • Custom software development
   • IT consulting and support

   Services are delivered per project-specific agreements. We reserve the right to modify or discontinue services.

4. 4. Payment Terms
   • Fees and schedules are outlined in project agreements/invoices.
   • Payments are non-refundable unless stated otherwise.
   • Late payments may incur penalties or service suspension.
   • Prices exclude applicable taxes.
5. 5. Intellectual Property
   • Upon full payment, clients own custom-developed software (per agreement terms).
   • Canduit retains rights to pre-existing code, tools, and methodologies.
   • Clients must not violate third-party IP rights.
   • Usage restrictions will be put forth (with conditions).
6. 6. User Responsibilities

   You agree to:

   • Provide accurate project requirements
   • Respond to communications promptly
   • Pay invoices on time
   • Use services lawfully
7. 7. Project Delivery
   • Timelines are estimates (subject to scope changes).
   • Client approval required at milestones.
   • Final delivery contingent on full payment.
   • Post-delivery support terms vary by project.
8. 8. Limitation of Liability
   • Canduit's liability is capped at fees paid for services.
   • No liability for indirect/consequential damages.
   • Services provided "as is" unless stated otherwise.
9. 9. Termination
   • Either party may terminate with written notice.
   • Payment is due for completed work.
   • Confidentiality/IP clauses survive termination.
10. 10. Dispute Resolution
    • Governing Law: Bangladesh
    • Arbitration: Disputes resolved in Dhaka
    • Jurisdiction: Courts of Dhaka have exclusive authority
